CONDITIONS OF SALE AND DELIVERY

The following general terms and conditions apply to all quotations, sales and deliveries; the placing of an order indicates that the customer acknowledges and accepts these terms and conditions. Terms and conditions other than these shall be valid only after prior agreement with us and confirmation on our part.

  1. Our quotations are non-binding unless subject to a limited term. We reserve the right to adjust quotations if our suppliers alter their prices, or to withdraw from them if a given product is not available.
  2. The basis of our deliveries is the order confirmation. Agreements made verbally, for example by telephone, are to be confirmed expressly by us in writing if they are to be valid.

  4. The purchaser shall not be entitled to any right of retention unless such right is based on the same contractual relationship.
  5. The date of delivery will be stipulated by us when we in turn have been given delivery dates by our suppliers. We shall not assume any liability for delays in delivery caused by delays on the part of our suppliers, unforeseen transport difficulties or situations of force majeure.
  6. Any agreements on binding delivery dates require our express written confirmation if they are to be valid.
  7. If no other agreement has been made, goods shall be dispatched at the expense and risk of the customer. We assume no liability for damage or losses incurred in transportation.Deliveries will be carried out with what we consider to be the utmost due care. We will not accept any obligations to choose the cheapest carriage option.
  8. Any complaints must be submitted in writing within eight days of delivery. Complaints do not give the customer the right to return the goods without our written agreement. Once such agreement has been given, the goods are to be returned at no cost to us. No claims for damages which may be made by the customer against us can be entertained or recognised until the goods have been inspected for transport damage and a report issued by us.
  9. Shading: Shading can occur in all kinds of cut-pile carpet. Shading is a parting of the pile in the upper third of the pile fibres. Shading is by no means a deterioration in quality. It is a purely optical effect. The shading effect is technically unavoidable and as such shall not be recognised as a ground for complaint.
  10. Deliveries are made under rights of retention in accordance with §449 of the German Civil Code. Until such time as payment has been made in full, the goods delivered shall remain our property.
  11. The place of performance for delivery and payment, and legal domicile for the same shall be Düsseldorf.
  12. German law shall be applicable.
  13. If any of the above clauses or provisions should be rescinded by written agreement or be legally unenforceable for any other reason, this shall not affect the validity of the remaining clauses and provisions
